Terms of service
Last updated [date]. These terms govern use of this website and, where no separate agreement exists, our services.
Draft — not yet reviewed
This is a working draft. Have it reviewed by a lawyer before launch. Indian requirements under the DPDP Act 2023 and the Consumer Protection (E-Commerce) Rules have specifics that a template cannot cover.
Engagements
Every project is governed by a signed proposal and scope of work. Where those documents conflict with these terms, the signed scope of work prevails.
Quotes and payment
Quotes are valid for 21 days. Work begins when the deposit has cleared. Invoices are payable within [15] days. Work pauses on any invoice more than 15 days overdue. All fees are exclusive of GST, which is charged at the applicable rate.
Scope and changes
Deliverables are as listed in the signed scope of work. Anything not listed is not included. Changes require a written change order agreed by both parties before the work is done.
Ownership
On receipt of final payment, you own all code, designs and assets produced for you. Domains, hosting and third-party accounts are registered in your name from the start. We retain the right to reference the project in our portfolio unless you tell us in writing not to.
Warranty
We fix defects reported within 30 days of delivery at no charge. This covers faults in what was built, not new features or changes of requirement.
Liability
Our total liability under any engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential loss.
Termination
Either party may end an engagement with written notice. You pay for work completed to that point; we hand over what has been produced.
Governing law
These terms are governed by the laws of India. Courts at Gurugram, Haryana have exclusive jurisdiction.
